Virtual Bench Pro License Agreement

Hello MPS Team,

Our Legal Team reviewed License of Virtual bench Pro and pointed a issue in using the software.
Highlighted part is a concern. How the result or performance obtained by us cant be transferred to someone else. Is our interpretation wrong?. Please provide explanation

  1. OTHER USE RESTRICTIONS. You agree that the Software and the performance or results obtained by You in using this Software are proprietary products and that all right, title and interest in and to the Software and the performance or results obtained by You in using this Software, including all associated intellectual property Rights (including but not limited to patent, copyright, and trade secrets), and shall at all times remain with MPS and its third party licensors. You may not sublicense, assign, transfer, sell, rent, lend or lease the Software or the performance or results obtained by You in using this Software, or any portions thereof, and any attempt to do so is null and void. You may not (and You shall not allow a third party to) translate, modify, copy, make derivative works of, reverse engineer, disassemble, decompile publicly display, publicly perform, or broadcast the Software, or make any attempt to ascertain, derive or obtain the source code for the Software.

Apologies for the delayed reply. Your concern is in regard to the nomenclature that restricts the transferring of sublicensing of the software and the performance results that are obtained from it correct?

This is a valid concern if you interpret this to mean that results obtained by your team can’t be shared with some third party. However, it is important to distinguish transferring (selling, sublicensing, or sharing with customers, partners, etc) and internally using the results within your organization, which is typically allowed.

It is typically used for license requests but someone who works directly with the software will perhaps verify the answers you seek.
